ARTICLE II: MANAGEMENT COUNCIL |
|
|
| Section 1 Management Council: The business of the Local shall be conducted by a Management Council elected and composed of the President, Vice President, Secretary-Treasurer and two (2) Councils-at-Large. Said Officers together having equal authority shall constitute the Management Council. These officers shall perform the duties prescribed by these Bylaws and by the parliamentary authority adopted by the Local. The Management Council is authorized to carry out duties that include: |
| (A) Meeting regularly (two times per month) and on call of the Council It shall have authority to set its exact hour and place of its meetings. A majority of members of the Management Council (3 of 5) present shall constitute a quorum. |
| (B) The Council is authorized to enforce the Bylaws of the Local and the AFM, decide questions of order or act on business at a general membership meeting when there is an absence of a quorum; and call special meetings and create agendas for meetings. Any Council member can call meetings. It also makes decisions in cases where an immediate emergency is perceived or on any matter affecting the Local not specifically referred to in the Bylaws. Any such decision, however, shall be made by at least three Council Members whenever possible. When not in formal session, the Council may act either by telephone, fax or certified mail. |
| (C) Exercise general supervision of the interests and affairs of the Local and its properties; pass upon all applications for membership; approve all expenditures of the Local; direct the Secretary-Treasurer as to which bank's) or other financial institution's) shall be used for depositing moneys of the Local; hear charges against a union member or official; investigate any questionable contract or engagement and appoint a Trial Board as needed. Minutes of council meetings shall contain a recorded of all votes. |
| (D) If a position should become vacant, the Council shall appoint a replacement to serve the remainder of the term. |
| (E) Council will publish a quarterly union newsletter, which will contain all official notifications and pertinent membership information. |
| (F) Compensation for conducting union business shall be on a per council meeting basis and paid at $50 per hour, plus 12.5% benefits, two hours minimum per meetings. |
| (G) Employ professional assistants, business agents and other personnel, terminate employees and/or fill any employee vacancy when deemed necessary. |
| (H) Serve as a Board of Arbitration as provide in Article 10. |
| (I) Special committees shall be chosen at the discretion of the President and Management Council. The Committee shall immediately attend to the business entrusted to it. |
| Section 2 President: The President shall: |
| (A) Preside over all meetings of the membership and the Management Council and enforce due observance of the Bylaws: |
| (B) Convene all regular and special meetings of the membership and the Management Council; |
| (C) Sign (with the Secretary-Treasurer) all checks, documents, bills, and collective bargaining agreements ratified by membership; Appoint all committees in association with the Management Council and be an ex-officio member of all committees except the Election Committee; |
| (D) Vote only in case of a tie vote, except on matters which are before the membership and voted upon by secret ballot; |
| (E) By virtue of his/her election to office by secret ballot, be a delegate to the Conventions and Conferences of the Federation; |
| (F) Receive a salary as established in the Bylaws, Article II. Section 1 (F). |
| Section 3 Vice-President: The Vice-President shall: |
| (A) Perform the duties of the President in his/her absence; |
| (B) Become President in the event of the death, disability, resignation or removal from office of the President; |
| (C) Receive a salary as established in the Bylaws, Article II. Section 1(F). |
| Section 4 Secretary-Treasurer; The Secretary-Treasurer shall: |
| (A) Keep a faithful record of proceedings of meetings of the membership and of the Management Council; answer all communications; keep a true account of the membership and issue notices for all meetings of the membership and of the Management Council; |
| (B) Sign all checks, documents, bills and agreements or orders for payment of money; |
| (C) Keep an accurate account of all receipts and expenditures of the Local and present a detailed statement of all receipts and expenditures to the Management Council at least quarterly; |
| (D) Surrender all of the books of accounts to an independent public accountant to be chosen by the Management Council for an annual audit; |
| (E) Perform all other related duties of the office; |
| (F) By virtue of election to office by secret ballot, be a delegate to Conventions and Conferences of the Federation; |
| (G) Deliver to his/her successor all moneys, books and records belonging to the Local at the expiration of his/her term of office; |
| (H) Keep regular office hours and receive a salary of $20,800 plus 12.5% benefits per annum. |
| Section 5 Councils-at-Large: The two Councils-at-Large shall: |
| (A) Attend all meetings and
perform duties and exercise authority as established under Article
II,Section 1 (A-1). |
| (B) Council-at-Large members shall receive a salary as established in the Bylaws Article II Section 1(F). |
